H.O.P.E. Political Action Committee

The purpose of the H. O. P. E. P. A. C. is to serve as the voluntary, non-profit arm of the “Beyond 2010: The Senatorial Campaign for Elvin R. Fahie, Sr. ” (hereinafter referred to as the Campaign). The H. O. P. E. P. A. C. deems to build a strong and viable political organization that will recruit volunteers, conduct business and organize activities to solicit, directly or indirectly, voluntary personal contributions, and to make expenditures in connection with the attempt to influence the election of Elvin R. Fahie, Sr. into the 29th Legislature of the United States Virgin Islands, St.

Thomas District. Article III – Offices Section A. Principal Office The Principal Office of the H. O. P. E. P. A. C. shall be located at Estate Nadir #19AA-2, St. Thomas, Virgin Islands, United States of America. Section B. Change of Address Change in the address of the Principal Office should only be deemed appropriate and final upon the approval of the Officers-in-Charge and the Campaign’s Officers. A change in address can only be designated upon the amendment of these Bylaws and should be announced publicly to inform solicitors and contributors. Article IV – Contributions The H. O. P.

E. P. A. C. may solicit and collect contributions from individuals as allowed by the Office of the Lieutenant Governor of the United States Virgin Islands. Contributions to the H. O. P. E. P. A. C. will be voluntary. Fundraising activities will be permitted as long as the purpose of the fundraising is clearly stated prior to and during the activity and is visible on all promotional information. All contributions to the H. O. P. E. P. A. C. shall be held in an account as specified by the Campaign office. All contributions shall be used as expenditures to carry out the purpose of the H.

O. P. E. P. A. C. and for no other purpose. No contribution shall be solicited or secured by physical force, job discrimination, or financial reprisal, or threat thereof, or as a condition of employment. Article V – Membership All residents of St. Thomas District of the United States Virgin Islands, regardless of ethnicity, gender, color or national origin, who express, whether in writing or in open meeting, their intention to support Elvin R. Fahie, Sr. in his bid for a Senate seat in the 29th Legislature, are eligible for membership in the H. O. P. E. P. A. C.

No further requirements for membership are needed except for the completion and filing of an Application Form which will be used for directory purposes only. Article VI – Officers Section A. Designation and Qualifications of Officers The officers of the H. O. P. E. P. A. C. shall be a Chairman, a Secretary, and a Treasurer, and is any individual who is a Member of the H. O. P. E. P. A. C. Section B. Appointment and Term of Office Officers shall be appointed into their respective positions upon the recommendation of the Members, and the assessment and approval of the Campaign office.

Their terms shall be concurrent with the length of the electoral campaign for the 29th Legislature of the Virgin Islands. Section C. Duties of the Chairman The Chairman shall administer and have general active management and advisory control of all the affairs of the H. O. P. E. P. A. C. The Chairman will also be the direct liaison between the H. O. P. E. P. A. C. and the Campaign. The Chairman shall also oversee the appropriation of the funds according to the needs and obligation of the Campaign. It is also the Chairman’s duty to serve as H. O. P. E. P. A. C. ’s representative for all fund-raising and candidate-hosted events.

In the event that the Chairman shall not be able to perform the duties specified, the Campaign may appoint a Vice-Chairman to temporarily manage the office. Section C. Duties of the Treasurer The Treasurer shall be responsible for all contributions made to and expenditures made by the H. O. P. E. P. A. C. The Treasurer shall be responsible for filing reports with the Election Commission and the Internal Revenue Service as required by law. The Treasurer shall also be responsible for maintaining records and accounts of the H. O. P. E. P. A. C. activities, for recording all contributions made to the H. O. P. E. P. A.

C. and for depositing it in the Campaign’s appointed account. The Treasurer shall also collect and disburse funds in accordance with this governing document and federal/state law. The Treasurer shall perform other duties as may be assigned by the Chairman. In the event that the Treasurer shall not be able to perform the duties specified, the Campaign may appoint an Assistant Treasurer to temporarily manage the office. Section D. Removal and Resignation Any officer may be removed, either with or without cause, by the Campaign office. Any officer may resign at any time by giving written notice to the Campaign office.

Any such resignation shall take effect at the date of the receipt or at any late date specified therein. The Campaign office shall therein appoint a new officer, or a temporary officer whose appointment should not exceed one month. Section E. Compensation The officers shall serve without compensation except that reasonable expense reimbursement, relating to operation of the H. O. P. E. P. A. C. , may be authorized by the Campaign office. Article VII – Meetings Section A. Frequency of Meetings The H. O. P. E. P. A. C. shall hold at least six (6) regularly scheduled meetings within the span of the electoral campaign.

A notice of a regular meeting shall set forth the time and place of the meeting and shall be posted at least five (5) days prior to the meeting. A quorum, consisting of fifty-one percent (51%) of the members of the H. O. P. E. P. A. C. , is required for the transaction of all business in the Committee. Section B. Order of business Herein is the order of business that shall be observed during meetings: 1. Call to Order 2. Reading, correction, and approval of the minutes of the previous meeting 3. Reports of Officers and committees 4. Old Business 5. New Business 6. Announcements 7. Adjournment Article VIII – Dissolution

The H. O. P. E. P. A. C. shall be dissolved at the end of the electoral campaign for the 29th Legislature of the United States Virgin Islands. For any other reason, the H. O. P. E. P. A. C. may also be dissolved before this time frame by a majority vote of the Organization’s roster of Members, or by the recommendation of the Campaign office. In the event of such dissolution, all funds contained in the H. O. P. E. P. A. C. depository, after payment of all lawful obligations, shall be disbursed to political committees, candidates or a charitable non-profit organization at the discretion of the Campaign office.
